1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the BoostGlobal application ("the App"), operated by Boost Media Ltd ("we", "us", or "our"), a company registered in Israel at Shulamit Aloni 11, Rishon LeZion, 4597545.

By installing, accessing, or using BoostGlobal, you ("Merchant", "you", or "your") agree to be bound by these Terms. If you do not agree, do not use the App.

2. Description of Service

BoostGlobal is an AI-powered chatbot platform for e-commerce stores. The App provides:

• AI chatbot widget for customer-facing storefronts
• Knowledge base indexing of products, pages, and articles
• Lead capture and management
• Meeting scheduling
• Conversation analytics and reporting
• Multilingual support (8 languages)
• Customizable widget appearance and behavior

3. Account and Installation

3.1 Shopify Installation

When you install BoostGlobal from the Shopify App Store, a BoostGlobal account is automatically created for you. No separate registration is required. Your identity is verified through Shopify's OAuth authentication.

3.2 Standalone Registration

You may also create an account on the BoostGlobal website (boostglobal.boostmedia.co.il) using email and password. You are responsible for maintaining the confidentiality of your account credentials.

3.3 Eligibility

You must be at least 18 years of age and have the legal authority to bind the business entity you represent. By using the App, you represent and warrant that you meet these requirements.

4. Acceptable Use

You agree not to use BoostGlobal to:

• Violate any applicable law, regulation, or third-party rights
• Transmit any malicious, harmful, or offensive content
• Attempt to reverse-engineer, decompile, or disassemble the App
• Interfere with or disrupt the App's infrastructure
• Use the AI chatbot to generate misleading, fraudulent, or illegal content
• Resell or redistribute the App or its services without our written consent
• Exceed fair usage limits designed to prevent abuse of shared resources

5. Pricing and Billing

5.1 Shopify Billing

For Shopify merchants, all subscription charges are processed through Shopify's Billing API. Charges appear on your regular Shopify invoice. We do not collect or store your payment information. Billing terms, refund policies, and dispute resolution for Shopify-billed charges are governed by Shopify's terms.

5.2 Plan Features

Each subscription plan includes specific features and usage limits (e.g., number of bots, messages per month, analytics access). Current plan details and pricing are available on the Usage & Billing page within the App. We reserve the right to modify plan features and pricing with 30 days' notice.

5.3 Free Trial

Paid plans may include a free trial period. During the trial, you have full access to the plan's features. If you do not cancel before the trial ends, you will be automatically charged at the plan's regular price.

5.4 Cancellation

You may cancel your subscription at any time from the Usage & Billing page or from Shopify Admin. Upon cancellation, your subscription remains active until the end of the current billing period. No refunds are provided for partial billing periods.

6. AI-Generated Content

BoostGlobal uses artificial intelligence (Google Gemini) to generate responses to visitor messages. You acknowledge that:

• AI-generated responses may not always be accurate, complete, or appropriate
• You are responsible for configuring bot personalities, system prompts, and forbidden topics to guide AI behavior
• We do not guarantee the accuracy of AI-generated product recommendations or information
• You should monitor conversations and adjust bot settings as needed
• You are ultimately responsible for the content displayed to your customers through the widget

7. Intellectual Property

7.1 Our Rights

BoostGlobal, including its software, design, features, documentation, and branding, is owned by Boost Media Ltd and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

7.2 Your Content

You retain ownership of your store content, conversations, leads, and any data you create through the App. By using BoostGlobal, you grant us a limited license to process, store, and display your content solely for the purpose of providing the App's services.

8. Data and Privacy

Your use of BoostGlobal is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the App, you consent to our data practices as described in the Privacy Policy.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The App may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We are not liable for any loss or damage resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, Boost Media Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the App.

Our total liability for any claims arising from these Terms or your use of the App shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be error-free, secure, or available at all times.

12. Indemnification

You agree to indemnify and hold harmless Boost Media Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the App at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may terminate your use of the App by uninstalling it from your Shopify store or deleting your standalone account.

Upon termination, your data will be handled according to our data retention policy described in the Privacy Policy (48-hour preservation period for Shopify merchants, followed by permanent deletion).

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts in Tel Aviv-Jaffa, Israel.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the App at least 30 days before they take effect. Your continued use of the App after the changes become effective constitutes acceptance of the revised Terms.
